These Terms of Service (“Terms”) govern your access to and use of the SOUL website, applications, smart contracts, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

IMPORTANT: The Service is experimental and uses public blockchain networks. On-chain activity may be publicly visible and permanent.

1. Nature of the Project

The SOUL Project is an experimental, on-chain application combining smart contracts, tokenized digital assets, and social mechanics. The Service is provided for experimental, entertainment, and informational purposes only.

  • The Service is not a financial product and not an investment.
  • We do not provide financial, legal, tax, or investment advice.
  • Participation involves technological, regulatory, and market risks.

2. Eligibility

You represent and warrant that you are at least 18 years old, have legal capacity to enter into these Terms, and will comply with all applicable laws. The Service is void where prohibited.

3. No Investment Representation

SOUL tokens, Unborn SOULs, Eternal SOUL NFTs, and any related digital assets do not represent equity, ownership, voting rights, profits, dividends, or revenue. They may have zero value. Nothing in the Service constitutes an offer or solicitation to buy or sell securities or financial instruments.

4. Tokens and NFTs

The Service may involve blockchain-based tokens and NFTs. Availability, mechanics, and parameters may change, subject to smart contract behavior, network conditions, and applicable law.

SOUL Tokens (SOUL20): Any “free” claim refers only to the absence of a purchase price. You remain responsible for network fees (gas). No guarantees are made regarding availability, utility, or value.

Unborn SOULs: Unborn SOULs are part of an experimental distribution mechanic. Timing, pricing, phases, and conditions may change at any time to the extent permitted by the smart contracts and applicable law.

Eternal SOULs (SOUL721 NFTs): Eternal SOUL NFTs are minted via smart contract interactions. NFT metadata may reference external systems (e.g., IPFS). Availability of metadata and related media is not guaranteed.

5. Reaping Mechanics

Reaping is a fictional, gamified mechanic implemented through smart contracts. It has no real-world legal effect. Any references to individuals or handles are symbolic and for entertainment purposes.

  • You agree not to harass, threaten, impersonate, or defame others using the Service.
  • We may restrict access for abuse or violations of these Terms.

6. Wallets and Third-Party Services

You are solely responsible for your wallet, private keys, and any transactions you authorize. We do not custody assets and cannot recover lost tokens, NFTs, or private keys. Third-party services (wallets, networks, storage providers) are used at your own risk and governed by their own terms.

7. Fees and Gas

Blockchain transactions require gas fees paid to the network. Gas fees are non-refundable and outside our control. We are not responsible for failed, delayed, or costly transactions.

8. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, and security. Smart contracts and software may contain bugs or vulnerabilities.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of funds, data, access, reputation, or opportunity arising from or related to your use of the Service.

10. Assumption of Risk

You assume all risks associated with blockchain technology, smart contracts, cryptographic assets, regulatory changes, forks, network failures, price volatility, and software defects.

11. Intellectual Property

The Service’s branding, text, visuals, and design elements are owned by or licensed to the SOUL Project, excluding user-owned blockchain assets. You may not copy or exploit Service content without permission.

12. Prohibited Conduct

  • Violating laws or regulations.
  • Attempting to exploit, manipulate, or bypass smart contract rules or security features.
  • Using automation to abuse the Service or degrade performance.
  • Misrepresenting identity or affiliation.

13. Changes to Service and Terms

We may modify, suspend, or discontinue the Service at any time. We may update these Terms at any time. Continued use after updates constitutes acceptance of the updated Terms.

14. Termination

We may restrict or terminate access to the Service at our sole discretion, without liability, to the extent permitted by law.

15. Governing Law

These Terms will be governed by the laws of a jurisdiction to be designated, without regard to conflict-of-law principles, except where such designation is restricted by applicable law.

16. Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and the SOUL Project regarding the Service.
